Welcome to ResponseFlow. These Terms of Service (“Terms”) govern your access to and use of the ResponseFlow website, platform, software, and related services (collectively, the “Service”). By creating an account, accessing the Service, or using ResponseFlow, you agree to these Terms.
If you do not agree to these Terms, do not use the Service.
1. Who We Are
ResponseFlow is a software platform that helps businesses capture leads, manage intake, automate communications, and organize customer interactions.
In these Terms, “ResponseFlow,” “we,” “us,” and “our” refer to the operator of the Service. “You” and “your” refer to the individual or business using the Service.
2. Eligibility
You must be at least 18 years old and legally able to enter into a binding agreement to use the Service.
If you use ResponseFlow on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.
3. Account Registration
To use certain features, you must create an account and provide accurate, current, and complete information.
You are responsible for:
- maintaining the confidentiality of your login credentials
- all activity under your account
- promptly updating your account information if it changes
You may not share your account in a way that violates your plan limits or allows unauthorized access to the Service.
4. Our Service
ResponseFlow provides tools for lead capture, customer messaging workflows, intake collection, notifications, and related business automation features.
We may add, remove, modify, or improve features at any time. Some features may be available only on certain pricing plans.
We do not guarantee that every feature will always be available, uninterrupted, error-free, or suitable for every business use case.
5. Acceptable Use
You agree not to use the Service to:
- violate any law or regulation
- infringe the rights of others
- send unlawful, deceptive, harassing, abusive, or spam communications
- collect or process personal information without proper notice or consent
- transmit malware or harmful code
- interfere with or disrupt the Service
- attempt unauthorized access to accounts, systems, or data
- resell, sublicense, reverse engineer, or misuse the Service except as allowed by law
You are responsible for how you use ResponseFlow and for ensuring your use complies with all applicable laws, including laws related to privacy, consumer protection, telemarketing, and text messaging.
6. Customer Data
You may submit or collect data through the Service, including contact information, messages, intake details, photos, and other business-related information (“Customer Data”).
You retain ownership of your Customer Data. You grant us a limited license to host, process, transmit, store, and use Customer Data only as needed to provide, maintain, secure, and improve the Service.
You are responsible for:
- having the rights needed to collect and use Customer Data
- providing any required notices
- obtaining any required consent from your customers or leads
- ensuring your Customer Data and your use of the Service comply with applicable law
7. Text Messages and Communications
ResponseFlow may support communication workflows, including email and text messaging.
If you use text messaging or similar communication features, you are responsible for:
- obtaining all legally required consent before sending messages
- honoring opt-outs and communication preferences
- complying with carrier rules and applicable messaging laws and regulations
By signing up for ResponseFlow, you consent to receive account-related, service-related, and operational messages from us, including by email or text message where applicable. Message frequency may vary. Message and data rates may apply.
Consent to receive communications from ResponseFlow is not a condition of purchase.
8. Billing, Subscriptions, and Trials
Some parts of the Service require payment. Paid plans may be billed on a recurring subscription basis.
By subscribing, you authorize us and our payment processors to charge your selected payment method for:
- subscription fees
- applicable taxes
- any other charges you authorize
Trials
If a free trial is offered, access may be limited by time, features, or eligibility. We may modify or end trials at any time.
Renewals
Unless canceled, subscriptions renew automatically at the end of each billing cycle.
Plan Changes
You may upgrade or downgrade your plan where supported. Changes may take effect immediately or at the next billing cycle depending on the change and billing setup.
Failed Payments
If payment fails, we may suspend or limit access until payment is resolved.
Refunds
Except where required by law, fees are non-refundable.
9. Suspension and Termination
We may suspend or terminate your access to the Service if:
- you violate these Terms
- your use creates risk for us, other users, or third parties
- payment is overdue
- we suspect abuse, fraud, or unlawful activity
You may stop using the Service at any time. Termination does not relieve you of payment obligations already incurred.
10. Availability and Changes
We may perform maintenance, updates, fixes, or service changes from time to time. We do not guarantee uninterrupted availability.
We may change or discontinue parts of the Service at any time.
11. Third-Party Services
The Service may integrate with or rely on third-party services such as payment processors, email delivery services, cloud providers, analytics tools, or messaging providers.
We are not responsible for third-party services, and your use of them may be governed by their own terms and privacy policies.
12. Intellectual Property
ResponseFlow and all related software, branding, designs, text, graphics, interfaces, and content provided by us are owned by us or our licensors and are protected by intellectual property laws.
These Terms give you a limited, non-exclusive, non-transferable, revocable right to use the Service for your internal business use in accordance with your subscription and these Terms.
13. Feedback
If you provide suggestions, feedback, or ideas about ResponseFlow, we may use them without restriction or compensation to you.
14. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not guarantee that:
- the Service will meet all of your needs
- the Service will be uninterrupted, secure, or error-free
- results from using the Service will be accurate or reliable in every case
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RESPONSEFLOW AND ITS AFFILIATES, OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE DURING THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
16. Indemnification
You agree to defend, indemnify, and hold harmless ResponseFlow and its affiliates, owners, officers, employees, contractors, and licensors from and against claims, liabilities, damages, losses, and expenses arising out of or related to:
- your use of the Service
- your Customer Data
- your violation of these Terms
- your violation of applicable law or the rights of a third party
17. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.
18. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we may provide notice by posting the updated Terms on our site, updating the effective date, or notifying you through the Service or by email.
Your continued use of the Service after updated Terms become effective means you accept the revised Terms.
